American Family has agreed to acquire specialty insurer Bowhead for $1.2 billion in an all-cash transaction announced August 3, 2026. Under the agreement, shareholders will receive $34 per share in cash, representing an 11% premium to Bowhead’s closing price on July 31, 2026.
American Family will acquire all outstanding shares of Bowhead that it does not currently own. The transaction is targeted to close by the end of 2026, subject to regulatory approvals and shareholder approval.
American Family made its founding investment in Bowhead in 2020 and held approximately 14.3% of the company’s common stock as of December 31, 2025. “Our relationship with Bowhead has continued to grow since our founding investment in 2020,” said Bill Westrate, chair and chief executive officer of American Family. “As a minority stockholder and strategic partner, we have seen firsthand the strength of its business model, disciplined execution, and strong market position.”
Bowhead provides casualty, professional liability and healthcare liability insurance products through two complementary underwriting models: a “craft” model for large, complex, higher-severity risks, and a “digital” model, which includes Baleen Specialty and other small-business offerings, for smaller, simpler, and scalable business. The company was founded in September 2020 by Stephen Sills, an industry veteran.
Upon completion, Bowhead will operate as a standalone entity within the American Family platform. Stephen Sills will continue as chief executive officer and president, and the Bowhead name and brand will remain unchanged. “I believe this transaction delivers compelling value to our stockholders while bringing together two organizations that share a long history, aligned values, and a commitment to disciplined underwriting and long-term success,” Sills said.
American Family will fund the acquisition through cash and other liquid investments on hand. The transaction is not subject to any financing conditions or contingency. Keefe, Bruyette & Woods, A Stifel Company, is serving as financial advisor to American Family, with Willkie Farr & Gallagher LLP as legal counsel.
