Mapfre to acquire Safety Insurance for $1.54B in all-cash deal

Mapfre has agreed to acquire Safety Insurance Group, one of Massachusetts’ leading property and casualty insurers, for $1.54 billion in an all-cash transaction announced on July 23, 2026. Safety shareholders will receive $105 per share, representing a 44% premium over the company’s closing stock price on that date.

Under the terms of the definitive agreement, a subsidiary of Mapfre U.S.A. Corp. will merge with Safety, after which Safety will operate as a wholly-owned subsidiary of Mapfre U.S.A. Corp. The transaction has been unanimously approved by the boards of both companies and is expected to close in the first quarter of 2027, subject to customary closing conditions and regulatory approvals.

Safety Insurance was founded in 1979 and operates exclusively in Massachusetts, New Hampshire, and Maine. According to Insurance Journal, the company is the fourth-largest writer of private passenger automobile insurance and the largest writer of commercial automobile insurance in Massachusetts. Following the combination, Mapfre said the merged entity will become the second-largest writer of private passenger auto in New England and the region’s largest homeowners and commercial auto insurer.

The acquisition comes as Safety has faced operational headwinds. In the first quarter of 2026, consecutive winter storms resulted in more than 1,600 property claims causing $42.7 million in damage, contributing significantly to a combined ratio of 113.4%. Days before the deal announcement, ratings agency AM Best revised Safety Group’s outlook to negative from stable, citing pressure on operating performance from loss severity trends and weather-related events.

Mapfre, Spain’s largest insurance company, operates through subsidiaries across 11 U.S. states and is the largest home and auto insurer in Massachusetts. According to Insurance Journal, Mapfre forecasts the acquisition will boost its net profit by more than 5% within three years. Following completion, Safety will continue operating under its established brand and maintain its independent agency relationships, with approximately 800 agents. Mapfre is represented by about 3,000 independent agents across its U.S. operations.

Mapfre has expanded its U.S. presence through acquisitions since entering the market in 1995. The company purchased Western Pioneer Insurance Co. in California, acquired Automobile Club Insurance Company in Ohio in 1999, and bought Massachusetts-based The Commerce Group Inc. in 2008. In 2017, Mapfre narrowed its focus to 11 core states by divesting operations in New York, New Jersey, and other markets.
