AbbVie to acquire Apogee Therapeutics for $10.9 billion in cash

AbbVie is nearing a $10.9 billion all-cash acquisition of Apogee Therapeutics, marking the pharmaceutical giant’s largest deal since its $63 billion purchase of Allergan in 2020. The deal values the clinical-stage biotech at roughly a 60% premium to its closing share price of $90.38 on Thursday, according to the Financial Times, which first reported the transaction.

Apogee Therapeutics develops Zumilokibart (APG777), a novel subcutaneous monoclonal antibody targeting IL-13 for the treatment of atopic dermatitis. The company is a clinical-stage biotechnology company advancing differentiated biologics for inflammatory and immunological diseases, according to its official description.

JPMorgan analysts called the transaction a strategic fit for AbbVie, saying it would strengthen the company’s pipeline in immunology and atopic dermatitis. “We believe this transaction would be a solid fit for AbbVie as it further builds out the company’s pipeline in immunology/atopic dermatitis,” JPMorgan wrote in a research note. The investment bank highlighted Apogee’s zumilokibart, which is set to enter Phase 3 trials in the coming months and is expected to compete favorably against existing treatments like Dupixent, which is jointly owned by Sanofi and Regeneron.

AbbVie’s late-stage pipeline has been a concern for investors in recent quarters, and analysts expect the acquisition to address this weakness. JPMorgan noted that AbbVie will be able to “leverage its historic strength in immunology” to push commercialization of Apogee’s lead asset once acquired.

The Allergan acquisition in 2020 transformed AbbVie by expanding its revenue base beyond its flagship immunology franchise. That deal, valued at $63 billion, brought blockbuster products like Botox and Juvéderm into AbbVie’s portfolio. The Apogee transaction, while smaller, signals AbbVie’s continued focus on strengthening its pipeline in high-value therapeutic areas ahead of potential patent expirations on key products.
