Trump Media cancels Truth Social spin-off plan, focuses on TAE merger

Trump Media & Technology Group announced today that it will not proceed with a previously discussed spin-off of Truth Social, shifting focus entirely to completing its merger with TAE Technologies, the nuclear fusion company.

The decision marks a reversal from February 27, 2026, when Trump Media said it was in discussions with TAE and Texas Ventures Acquisition III regarding a plan to spin Truth Social into a separate publicly traded company following the TAE merger’s completion.

Trump Media said the company remains focused on closing the $6 billion all-stock merger with TAE Technologies, targeting completion in the fourth quarter of 2026 or earlier, according to a press release statement.

The proposed spin-off would have involved merging Truth Social and other TMTG media assets into a new publicly traded company combined with Texas Ventures Acquisition III, a blank-check vehicle. Under the original plan, shares would have been distributed to TMTG shareholders of record prior to the merger close.

Instead, the company said its board of directors will evaluate potential strategic alternatives for legacy business units, including TMTG’s media assets, after the TAE merger closes. This leaves the ultimate fate of Truth Social and other media properties uncertain pending the completion of the fusion technology deal.

TMTG operates Truth Social, a social media platform; Truth+, a streaming service; and Truth.Fi, a financial services brand. TAE Technologies develops fusion power technology and operates subsidiaries focused on energy storage and cancer treatment technologies.

The company plans to file a registration statement on Form S-4 with the Securities and Exchange Commission in connection with the TAE merger, which requires approval from both TMTG shareholders and TAE stockholders.

Investors responded positively to the strategic focus, with DJT stock gaining 4.4% over the past week and climbing 29% year-to-date, trading at $224.27 as of the announcement.
