T-Mobile completed its acquisition of substantially all of U.S. Cellular’s wireless operations on August 1, 2025, the company said in a press release describing the transfer of customers, stores and specified spectrum assets.
T-Mobile said the transaction brought more than four million UScellular customers onto its network and that the purchase price was roughly $4.3–$4.4 billion after adjustments, with $2.6 billion paid in cash and about $1.7 billion of assumed debt, according to the company statement.
The deal closed after U.S. regulators cleared the transaction: the Justice Department closed its antitrust probe on July 10, 2025, and the Federal Communications Commission issued an order approving the license transfers on July 11, 2025, Reuters and the FCC record show.
T-Mobile’s corporate announcement said UScellular customers will remain on their existing plans for now and that “nearly all” customer devices will continue to work on the T-Mobile network while systems and networks are integrated over about two years.
The companies and filings say the deal transfers about 30% of UScellular’s spectrum to T-Mobile while Array Digital Infrastructure (formerly UScellular) retained significant towers and other assets and will operate as an infrastructure company, per T-Mobile’s FAQ and company release.
Analysts and industry coverage noted regulators weighed competitive concerns before sign-off: Reuters reported the DOJ found UScellular “could not keep up” with capital requirements and did not show harms warranting a block, while the FCC’s order approved the necessary license transfers for the transaction.
For customers, T-Mobile said the acquisition will expand access to its home broadband and fixed wireless products in parts of UScellular’s footprint and that customers will be offered T-Mobile plans and Un-carrier benefits as systems are integrated.
